TERMS AND CONDITIONS OF SALE

These Terms and Conditions (“Agreement”) govern all purchases of products and services from Dawn Research (“Company”, “we”, “us”, or “our”). By accessing our website, creating an account, or purchasing products from Dawn Research, the customer (“Buyer”, “Customer”, or “User”) agrees to be bound by these Terms.

If the Buyer does not agree with these Terms, the Buyer must not purchase or use any products sold by Dawn Research.

1. Definitions

For the purposes of this Agreement:

“Products” or “Materials” refers to any substances, peptides, proteins, chemicals, reagents, compounds, laboratory supplies, equipment, or services sold by Dawn Research.

“Website” refers to any website operated by Dawn Research.

“Buyer” or “Customer” refers to any individual, business, institution, or organization purchasing products from Dawn Research.

2. Research Use Only

All products sold by Dawn Research are intended strictly for laboratory research and analytical purposes only.

Products sold by Dawn Research:

Are NOT intended for human consumption
Are NOT intended for animal consumption
Are NOT intended for medical, diagnostic, therapeutic, or clinical use
Are NOT intended for use in food, drugs, cosmetics, or medical devices

Products must only be used by qualified professionals trained in laboratory research procedures.

Any misuse of products purchased from Dawn Research is strictly prohibited.

3. Buyer Qualifications

By purchasing from Dawn Research, the Buyer represents and warrants that:

The Buyer is at least 21 years of age.
The Buyer is a qualified professional or research institution familiar with the handling of laboratory chemicals.
The Buyer has the necessary facilities, training, and equipment to safely store and handle the materials purchased.
The Buyer will comply with all applicable laws and regulations governing research chemicals.

Dawn Research reserves the right to deny sales to any customer at its sole discretion.

4. FDA and Regulatory Disclaimer

Products sold by Dawn Research have not been evaluated by the U.S. Food and Drug Administration (FDA).

Products are not intended to diagnose, treat, cure, or prevent any disease.

Dawn Research is not a compounding pharmacy, and does not manufacture pharmaceutical drugs for human use.

Dawn Research is not registered as an outsourcing facility under Section 503B of the Federal Food, Drug, and Cosmetic Act.

5. Product Testing and Safety

Buyer acknowledges that research chemicals may present significant health and safety hazards.

The Buyer agrees that they are responsible for:

Conducting independent research regarding the hazards of any materials purchased
Implementing appropriate industrial hygiene and laboratory safety procedures
Properly labeling, storing, and disposing of materials
Complying with all local, state, federal, and international regulations

Buyer assumes all risks associated with handling and use of the products.

6. Limitation of Liability

To the maximum extent permitted by law, Dawn Research shall not be liable for any damages arising from the use, misuse, or inability to use products purchased from the Company.

This includes but is not limited to:

Direct damages
Indirect damages
Incidental damages
Consequential damages
Personal injury
Property damage

In no event shall Dawn Research’s total liability exceed the amount paid for the product purchased.

7. Indemnification

The Buyer agrees to indemnify, defend, and hold harmless Dawn Research, its owners, employees, affiliates, and suppliers from any claims, damages, liabilities, losses, or legal expenses resulting from:

Improper use of purchased products
Violation of this Agreement
Violation of any laws or regulations
Personal injury or damages arising from product use

This indemnification obligation applies whether the product is used alone or in combination with other substances.

8. Export Restrictions

Buyer agrees not to export, re-export, or transfer products purchased from Dawn Research in violation of any United States export control laws or international trade regulations.

The Buyer is solely responsible for complying with:

U.S. export control regulations
International trade restrictions
Customs and import regulations in their jurisdiction

9. Resale Restrictions

Products sold by Dawn Research are intended for internal research use only.

Unless expressly authorized in writing by Dawn Research, the Buyer may not:

Resell products
Repackage products
Relabel products
Distribute products to third parties
Use products in commercial services

Unauthorized resale or redistribution may result in legal action and termination of business relationships.

10. Intellectual Property and Patent Disclaimer

Dawn Research does not guarantee that the use of any product will not infringe on existing patents or intellectual property rights.

The sale of a product does not grant any license to use the product in violation of patent protections.

11. Order Acceptance

Receipt of an order confirmation does not constitute acceptance of the order.

Dawn Research reserves the right to:

Reject orders
Cancel orders
Limit quantities
Refuse service to any customer

This may occur even after payment has been processed.

12. Payment Terms

Dawn Research accepts various payment methods including credit cards and other payment options listed during checkout.

Customers must provide accurate billing information.

Orders with incorrect payment details may be delayed or canceled.

13. Shipping Policy

Orders are typically processed within 1–2 business days, depending on product availability.

Shipping times are estimates only and may vary due to carrier delays or external circumstances.

Dawn Research is not responsible for shipping delays once a package has been transferred to the carrier.

14. Returns and Refunds

Due to the sensitive nature of research chemicals, all sales are final unless otherwise stated.

Refunds or replacements may be issued in cases where:

Incorrect items were shipped
Products arrived damaged

Customers must contact support within 48 hours of delivery.

15. Website Content and Intellectual Property

All content on the Dawn Research website, including:

Text
Images
Logos
Product descriptions
Design elements

is the intellectual property of Dawn Research and may not be reproduced without written permission.

Unauthorized use may result in civil or criminal penalties.

16. Privacy Policy

Dawn Research respects customer privacy and collects personal information only for the purposes of:

Providing customer support

Personal information will not be sold or shared with third parties except where necessary to complete transactions or comply with legal obligations.

18. Pricing Errors

In the event of a pricing error, Dawn Research reserves the right to cancel or refuse any orders placed at the incorrect price.

If payment has already been processed, the customer will receive a full refund.

This Agreement shall be governed and interpreted according to the laws of the United States and the state in which Dawn Research operates.

Any legal disputes shall be resolved in the appropriate courts within that jurisdiction.

20. Modifications to Terms

Dawn Research reserves the right to modify these Terms and Conditions at any time without prior notice.

The most current version will always be available on the website.

Continued use of the website or purchase of products constitutes acceptance of the updated terms.

21. Agreement Acceptance

By purchasing products from Dawn Research, the Buyer acknowledges that they:

Failure to comply with these terms may result in termination of account access and potential legal action.
